Delrio BD operates as a buying house and sourcing company, assisting clients in identifying, sourcing, manufacturing, quality checking, and exporting products from Bangladesh. We work with trusted manufacturers and suppliers to fulfill customer requirements while maintaining quality and compliance standards.
3. Orders and Quotations
All quotations provided by Delrio BD are subject to product availability, supplier pricing, shipping costs, and applicable taxes or duties. A quotation does not constitute a binding agreement until it has been accepted by both parties in writing.
Customers are responsible for providing accurate product specifications, quantities, packaging requirements, and delivery instructions.
4. Pricing and Payment
Prices are quoted in the agreed currency and may change due to fluctuations in raw material costs, exchange rates, or supplier pricing before order confirmation.
Payment terms will be specified in the Proforma Invoice or Purchase Agreement. Delrio BD reserves the right to suspend or cancel production or shipment if payments are delayed or not received according to the agreed terms.
5. Product Quality
Delrio BD works closely with manufacturers to ensure products meet agreed specifications. Where applicable, quality inspections may be conducted before shipment. Minor variations in color, size, texture, or packaging may occur due to manufacturing processes and shall not be considered defects unless otherwise agreed.
6. Shipping and Delivery
Estimated delivery dates are provided for guidance only and may vary due to production schedules, customs procedures, shipping delays, weather conditions, or events beyond our control. Delrio BD is not liable for delays caused by freight carriers, customs authorities, or force majeure events.
Risk of loss or damage transfers according to the agreed shipping terms (Incoterms).
7. Cancellations and Changes
Once production has commenced, orders cannot be cancelled or modified without written approval. Any approved changes may result in additional costs and revised delivery schedules.
8. Intellectual Property
Any logos, trademarks, designs, product specifications, documents, images, or content provided by either party remain the property of their respective owners. Customers must ensure they have the legal right to use any trademarks or designs submitted for production.
9. Limitation of Liability
Delrio BD shall not be liable for indirect, incidental, consequential, or special damages arising from the use of our services. Our total liability shall not exceed the amount paid by the customer for the specific order giving rise to the claim.
10. Force Majeure
Del Rio BD shall not be responsible for failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, war, strikes, government actions, pandemics, transportation disruptions, or supplier failures.
11. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the People’s Republic of Bangladesh. Any disputes shall be resolved through negotiation, and if necessary, by the competent courts of Bangladesh.
12. Changes to These Terms
Delrio BD reserves the right to update or modify these Terms & Conditions at any time. Updated versions will become effective immediately upon publication on the website.
